Welcome to Beatrice!
Thank you for choosing Beatrice to help you maintain your friendships. These Terms of Service ("Terms") are the rules for using our app. We've written them in clear, simple language because we believe legal agreements shouldn't give you a headache.
The Quick Version:
- Be kind and respectful
- Don't use Beatrice for anything illegal or harmful
- Your data is yours, our app is ours
- We're doing our best, but we can't guarantee perfection
- If there's a problem, let's talk it out
By using Beatrice, you agree to these Terms. If you don't agree, please don't use the app (and we'd love to hear why - your feedback helps us improve).
1. Agreement to Terms
What You're Agreeing To
By downloading, installing, or using Beatrice, you agree to be bound by:

Who's in This Agreement
"We," "Us," "Our" means:
- Beatrice (the app)
- Brian Long (the developer)
- Any future corporate entity that owns Beatrice
"You," "Your" means:
- You, the individual user
- If you're using Beatrice for a company, you represent that you have authority to bind that company to these Terms
Changes to These Terms
When We Make Changes:
- We'll update the "Last Updated" date at the top
- For minor changes (typos, clarifications): Effective immediately
- For material changes: We'll notify you 30 days in advance via:
- In-app notification
- Email (if we have it)
- Prominent notice on app launch
Your Options When Terms Change:
- Keep using Beatrice = accept the new Terms
- Don't agree? Stop using the app and delete your account
- You have 30 days to decide before material changes take effect
Continued Use = Acceptance: Using Beatrice after Terms change means you accept the new Terms.
2. Who Can Use Beatrice
Age Requirements
You must be at least 18 years old to use Beatrice.
Why: Beatrice is designed for adults managing complex social relationships. We don't collect information from anyone under 13 (COPPA compliance), and we require all users to be legal adults.
Verification: By using Beatrice, you confirm that you are 18 or older.
If You're Under 18:
- Please don't use Beatrice
- We'll delete your account if we discover you're underage
- No refunds for underage accounts (if applicable)
Other Requirements
You Must:
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the app under any applicable law
- Have a compatible mobile device (iOS or Android)
- Comply with all local laws and regulations
We Don't Allow:
- Accounts created by automated means or false pretenses
- Accounts used primarily by someone other than the registered user
- Multiple accounts by the same person (without our permission)
- Accounts for illegal purposes
3. Your Account
Account Creation
Anonymous Authentication:
- Beatrice currently uses anonymous authentication
- You get a unique user ID tied to your device
- No email or password required (for now)
Future Email Accounts:
- If we add email/password authentication, we'll update these Terms
- You'll be able to upgrade your anonymous account
Account Security
Your Responsibility:
- Keep your device secure (passcode, Face ID, etc.)
- Don't share your device with people you don't trust
- Log out on shared devices
- Report suspected unauthorized access immediately
Our Responsibility:
- Protect your account with industry-standard security
- Use encryption for data transmission and storage
- Monitor for suspicious activity
If Your Account Is Compromised:

- We'll help you secure your account
- Change your device passcode
- Consider deleting and reinstalling the app
Account Information
Accuracy:
- Provide accurate information about your friends
- Don't impersonate others
- Don't create fake friend profiles
Updates:
- Keep your friend information up to date
- Update settings as your preferences change
4. How You Can Use Beatrice
License We Grant You
What You Can Do:
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Install Beatrice on your personal device(s)
- Use Beatrice for personal, non-commercial purposes
- Access features included in your subscription tier (if applicable)
What This Means in Plain English:
- You can use Beatrice to manage your personal friendships
- You can install it on your iPhone or Android device
- You can't sell or transfer your account
- We can revoke access if you violate these Terms
Intended Use
Beatrice Is Designed For:
- Managing personal friendships and relationships
- Remembering important details about people you care about
- Getting reminders to stay in touch
- Generating conversation ideas
- Organizing social events from your calendar
Acceptable Personal Uses:
- Keeping track of family members
- Managing professional relationships (colleagues, mentors)
- Organizing community connections
- Supporting partner/household coordination (future feature)
Fair Use
Reasonable Limits:
- Beatrice is for personal use with a reasonable number of friends
- "Reasonable" = typically under 500 friends (if you exceed this, you're probably amazing at friendships!)
- Don't use Beatrice to manage customer databases or sales contacts
- Don't automate interactions with our API (without permission)
We Reserve the Right:
- To set reasonable limits on data storage and API usage
- To adjust limits as the app scales
- We'll communicate any changes with advance notice
5. Things You Can't Do
Prohibited Activities
Don't:
1. Use Beatrice for illegal purposes
- Violate any local, state, national, or international law
- Infringe on others' intellectual property rights
- Harass, stalk, or harm others
- Collect information about others without consent
2. Abuse the service
- Reverse engineer, decompile, or disassemble the app
- Bypass security measures or access restrictions
- Use automated tools to access the app (bots, scrapers, etc.)
- Attempt to gain unauthorized access to our systems
- Introduce viruses, malware, or harmful code
- Overload or disrupt our servers
3. Misuse content
- Copy, redistribute, or sell AI-generated messages
- Use Beatrice-generated content for commercial purposes
- Scrape or harvest data from the app
- Create derivative works without permission
4. Abuse AI features
- Generate spam or mass communications
- Create misleading or deceptive content
- Use AI to impersonate others
- Generate harmful, offensive, or illegal content
- Attempt to manipulate or trick the AI
5. Harm others
- Upload malicious content
- Share others' personal information without consent
- Use Beatrice to harass, bully, or threaten
- Impersonate another person or entity
- Violate others' privacy or rights
6. Abuse your account
- Share your account with others (except authorized family sharing, if we add it)
- Create multiple accounts to circumvent restrictions
- Transfer your account to someone else without permission
- Use Beatrice for commercial customer relationship management
Consequences of Prohibited Activities
What Happens:
- First Warning: We'll notify you and ask you to stop
- Repeated Violations: Temporary account suspension
- Serious Violations: Permanent account termination
- Illegal Activity: Report to law enforcement
No Refunds: Termination for Terms violation forfeits any subscription fees paid.
Appeal Process: If you believe we made a mistake, contact us at [contact@beatrice.app - to be updated] within 14 days.
6. Your Content and Data
What You Own
Your Data Belongs to You:
- Friend names, photos, memories, notes
- Calendar connections and event data
- Messages you write
- Settings and preferences
- Any other information you input into Beatrice
You Retain Ownership: We don't claim ownership of your content. Your friendships are yours, not ours.
License You Grant Us
Why We Need a License:To provide Beatrice's services (store your data, generate AI suggestions, sync across devices), you grant us a limited license.
What You Grant:
A worldwide, royalty-free, non-exclusive license to:
- Store your data on our servers
- Process your data to provide app features
- Use your data with AI services (Claude API) to generate suggestions
- Back up your data for security and recovery
- Display your data within the app
What We Won't Do:
- Sell your data to third parties
- Use your data to advertise to you
- Share your data publicly
- Train AI models on your data (for others)
- Use your content beyond what's necessary to run Beatrice
Duration: This license ends when you delete your account or specific content.
Your Responsibilities
You Are Responsible For:
- Accuracy of information you input
- Obtaining consent to add others' information (if required by law)
- Not uploading illegal, harmful, or infringing content
- Backing up your own data (though we provide export tools)
You Represent and Warrant That:
- You own or have rights to all content you upload
- Your content doesn't violate others' rights
- Your content doesn't violate laws or regulations
- You have consent to store others' personal information (where legally required)
Data Deletion
Your Right:
- Delete individual friends, memories, or notes anytime
- Delete your entire account and all data
- Export your data before deletion (recommended)
Our Process:
- Immediate removal from active systems
- Complete purge from backups within 30 days
- Some data may remain in encrypted backups for up to 90 days
- No recovery after deletion (we take this seriously)
Legal Exceptions:
- We may retain data required by law (e.g., for tax records if you paid us)
- We may retain anonymized usage data for analytics
7. Our Intellectual Property
What We Own
Beatrice's Intellectual Property:
- The Beatrice app and all its code
- The Beatrice name, logo, and branding
- App design, layout, and user interface
- Documentation and help materials
- AI prompts and system architecture
- Marketing materials and website content
Protected By:
- Copyright law
- Trademark law
- Trade secret law
- Other applicable intellectual property laws
What You Can't Do With Our IP
Don't:
- Copy, modify, or create derivative works
- Reverse engineer or decompile the app
- Remove copyright notices or branding
- Use our name, logo, or branding without written permission
- Sell, rent, lease, or sublicense the app
Exception: Fair use for commentary, criticism, or review is okay.
Feedback and Suggestions
If You Give Us Ideas:
- We love feedback! Please share your thoughts
- By providing suggestions, you grant us unlimited, perpetual rights to use them
- We're not obligated to implement your suggestions
- We won't compensate you for suggestions (unless separately agreed in writing)
- You waive any claims to compensation
Why: This protects us legally if we independently develop something similar to your suggestion.
Open Source Components
Acknowledgment:
- Beatrice uses some open-source software
- We comply with all applicable open-source licenses
- Attributions available in Settings → About → Open Source Licenses
8. AI-Generated Content
How AI Works in Beatrice
AI Features:
- Conversation starters and message suggestions
- Memory processing and insight extraction
- Social event detection from calendar
- Nudge generation
AI Provider:
Ownership of AI-Generated Content
Who Owns AI Messages:
- You own the inputs (friend data, memories, context)
- We own the AI prompts and system design
- AI-generated outputs are licensed to you for personal use
- Neither you nor we claim copyright in raw AI outputs
Your Rights:
- Use AI-generated messages for personal communication
- Edit or modify AI suggestions
- Reject or delete AI suggestions
Limitations:
- Don't resell or commercially license AI-generated content
- Don't use AI content to train competing AI models
- Don't represent AI content as your own original creative work
AI Accuracy and Limitations
Disclaimer:AI is not perfect. AI-generated suggestions:
- May be inaccurate, inappropriate, or irrelevant
- Reflect patterns in training data, which may include biases
- Should be reviewed before use
- Are not guaranteed to be contextually appropriate
Your Responsibility:
- Review all AI suggestions before using
- Edit for tone, accuracy, and appropriateness
- Don't blindly copy AI-generated text without reading it
- Use your judgment
We Are Not Responsible For:
- Consequences of using AI-generated content
- Misunderstandings from AI suggestions
- Offensive or inappropriate AI outputs (though we work to minimize these)
- Damages from relying on AI accuracy
Data Used for AI
What We Send to Claude API:
- Friend's first name only (no last name)
- Selected memories and notes you've created
- Interest categories you've chosen
- Relationship type and last contact date
- Context about the message type you requested
What We Don't Send:
- Full friend list
- Contact information (phone, email, address)
- Calendar events (processed locally first)
- Your personal identifying information
Anthropic's Commitments:
- Does not train models on your data
- Retains data for max 30 days (trust & safety only)
- Encrypts data in transit
- GDPR compliant

Pricing Changes:

- Price increases don't apply to active subscription periods

Subscription Terms:

Cancellation:
- Cancel anytime in your app store account settings
- Cancellation takes effect at end of current billing period
- No pro-rated refunds for partial months
- You retain access until the end of the paid period
Refunds
General Policy:
- Refunds handled through Apple App Store or Google Play Store
- We follow their refund policies
- Contact us first if you have issues; we'll try to help
No Refunds For:
- Partial subscription periods
- Dissatisfaction with app (cancel before renewal instead)
- Failure to use the app
- Violation of Terms resulting in termination
Exceptions:

- Billing errors (we'll correct them)
- Duplicate charges (we'll refund)
Free Trials
If We Offer Trials:
- Trial duration will be clearly stated
- Cancellation before trial ends = no charge

Taxes

11. App Changes and Availability

We Don't Guarantee:
- Backward compatibility with old devices or OS versions
- That all features will always be available
- That updates won't introduce bugs (though we test thoroughly)
Service Availability
Uptime:
- We strive for high availability (target: 99% uptime)
- No guarantee of uninterrupted service
- Planned maintenance will be announced when possible
Reasons for Downtime:
- Scheduled maintenance
- Emergency repairs
- Server issues
- Third-party service outages (Supabase, Anthropic, etc.)
- Force majeure (natural disasters, etc.)
No Compensation:
- We're not liable for temporary service interruptions
- No refunds for brief outages
- Free tier users: No service level agreement
Long-Term Outage:
- If we're down for >7 consecutive days, contact us for pro-rated refund (paid users)
App Discontinuation
If We Ever Shut Down Beatrice:
- Minimum 90 Days' Notice:
- We'll notify all users via email and in-app message
- We'll explain why and when
- Data Export:
- We'll provide tools to export all your data
- Multiple export formats (JSON, CSV)
- At least 60 days to export before shutdown
- Refunds (Paid Users):
- Pro-rated refunds for remaining subscription time
- Lifetime subscriptions: Proportional refund based on usage
- Open Source Consideration:
- We'll consider open-sourcing the app code
- Decision based on business circumstances
You Acknowledge:
- As a bootstrap startup, continued operation depends on viability
- We'll do our best to keep Beatrice running long-term
- No guarantee of perpetual operation
12. Disclaimers and Limitations
Service Disclaimers
BEATRICE IS PROVIDED "AS IS" AND "AS AVAILABLE":

- Error-free operation
- Uninterrupted availability
- Perfect AI accuracy
- Complete data security (though we use industry standards)
- Compatibility with all devices
- Specific results from using the app
No Warranties:
- We disclaim all warranties, express or implied
- Including warranties of merchantability and fitness for a particular purpose
- To the extent permitted by law
What This Means:
- Use Beatrice at your own risk
- We're not perfect, and neither is any software
- Back up your important data
- Don't rely solely on Beatrice for critical reminders
Not Professional Advice
Beatrice Is NOT:

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
We Are Not Liable For:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or goodwill
- Service interruptions or data loss
- User content or conduct
- Third-party services or integrations
- Reliance on AI-generated content
Even If:
- We were advised of the possibility of such damages
- Our remedies fail their essential purpose
Maximum Liability:
- If we are found liable, our total liability is limited to:
- For paid users: Amount you paid in the last 12 months
- For free users: $100
- This limit applies to all claims collectively, not per incident
Exception (Required by Law):

- If you're in one of those places, the minimum legally allowed applies
- We don't exclude liability for fraud, gross negligence, or intentional harm

13. Indemnification
Your Agreement to Protect Us
You Agree to Indemnify and Hold Harmless:
Beatrice, Brian Long, and our affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:
- Your Use of Beatrice:
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of others' rights
- Your Content:
- Content you upload to Beatrice
- Infringement of others' intellectual property
- Defamation, libel, or privacy violations
- Unauthorized use of others' personal information
- Your Conduct:
- Negligence or misconduct while using Beatrice
- Disputes with other users (if we ever add social features)
- Misuse of AI-generated content
What This Means in Plain English:
- If you do something wrong using Beatrice and we get sued because of it, you cover our legal costs
- Don't do illegal stuff with our app, and we won't have to invoke this clause
Our Rights:
- We may assume defense of any claim at our expense
- You'll cooperate with our defense
- We may settle claims with your consent (not to be unreasonably withheld)
14. Termination
Your Right to Terminate
You Can Delete Your Account Anytime:

- Immediate loss of access to your account
- Permanent deletion of all your data within 30 days
- No refunds for unused subscription time (except as required by law)
- Termination of all licenses granted
Before You Delete:
- Export your data (Settings → Privacy → Download My Data)
- No recovery after deletion (we take this seriously)
Our Right to Terminate
We May Suspend or Terminate Your Account If:
- You Violate These Terms:
- Prohibited activities
- Abuse of service
- Harmful conduct
- Legal Requirements:
- Court order or law enforcement request
- Legal compliance (DMCA, sanctions, etc.)
- Risk of legal liability to us
- Abuse or Fraud:
- Payment fraud
- System abuse
- Security threats
- Inactivity:
- Accounts inactive for 24+ months may be deleted (with 60 days' notice)
Process:
- Warning: We'll usually warn you first (unless it's a serious violation)
- Opportunity to Cure: You'll have 7 days to fix the issue
- Suspension: Temporary suspension for investigation
- Termination: Permanent if not resolved
No Refunds:
- Termination for Terms violation forfeits subscription fees
- Exception: If we made an error, we'll refund pro-rata
Appeal:

Effect of Termination

15. Dispute Resolution
Let's Talk First
Before Legal Action:

- We'll respond within 7 business days
- We'll work in good faith to resolve it
Informal Negotiation Period:
- 60 days to resolve the dispute informally
- Both parties agree to negotiate in good faith
- If resolved, great! If not, proceed to arbitration
Binding Arbitration
If We Can't Resolve It Informally:
Arbitration Agreement:
- Most disputes will be resolved through binding arbitration
- You waive your right to a court trial
- You waive your right to a jury trial
- You waive your right to participate in class actions

- Small claims court disputes (under jurisdictional limit)
- Intellectual property disputes
- Injunctive relief to prevent harm
- Disputes required by law to be in court
Costs:
- Small claims (under $10,000): We pay arbitration fees
- Larger claims: Fees split per AAA rules
- Each party pays own attorney fees (unless arbitrator awards them)
Discovery:
- Limited discovery as appropriate for the claim
- Less extensive than court proceedings
Decision:
- Arbitrator's decision is final and binding
- Very limited grounds for appeal
- Enforceable in any court with jurisdiction
Class Action Waiver
No Class Actions:
- You agree not to participate in class actions against us
- Disputes must be brought individually
- No consolidation of claims without our consent
Opt-Out:
- You may opt out of arbitration and class action waiver
- Must notify us in writing within 30 days of first using Beatrice

Small Claims Court
Exception for Small Claims:
- Either party may bring qualifying claims in small claims court

Injunctive Relief

- Either party may seek injunctive relief in court
- For IP infringement, security breaches, or to prevent irreparable harm
- Does not waive arbitration for other disputes

- Without regard to conflict of law provisions
- Federal Arbitration Act governs arbitration
Why Kansas:
- Beatrice is operated from Kansas City, Kansas
- Consistent legal framework
- Developer's home state
International Users:
- Kansas law applies regardless of where you're located
- Local mandatory consumer protection laws may also apply
- If conflict: Most protective law applies
Jurisdiction and Venue
If Court Proceedings Are Necessary:
- Exclusive jurisdiction: State and federal courts in Kansas City, Kansas
- You consent to personal jurisdiction in these courts
- You waive any objection to venue
Exception:
- Small claims court in your location (if qualifying)
- Injunctive relief may be sought in any court with jurisdiction
Severability
If Part of These Terms Is Invalid:
- That provision is modified to be enforceable
- Rest of the Terms remain in full effect
- Invalid provisions replaced with valid ones that achieve the same intent
Example: If arbitration is unenforceable in your jurisdiction, disputes go to court, but other Terms still apply.
Waiver
Failure to Enforce ≠ Waiver:
- If we don't enforce a Term immediately, we haven't waived the right to enforce it later
- Waiver of one breach doesn't waive future breaches
- We may pick and choose when to enforce (at our discretion)
Formal Waivers:
- Waivers must be in writing and signed by us
- No oral waivers
Assignment
You Can't Transfer Your Account:
- You may not assign or transfer these Terms or your account
- Exception: By operation of law (e.g., inheritance - contact us)
We May Transfer:
- We may assign these Terms to a parent, subsidiary, or buyer
- We'll notify you if this happens
- Your rights remain protected
Entire Agreement
This Is the Complete Agreement:

Effect:
- Performance excused during force majeure
- We'll resume service as soon as possible
- No refunds for temporary interruptions due to force majeure

- Same effect as written signature
Relationship
Independent Parties:
- These Terms don't create a partnership, joint venture, or employment relationship
- You're an independent user
- We're an independent service provider
Export Controls
Compliance:
- Beatrice subject to U.S. export control laws
- You may not use Beatrice in embargoed countries
- You represent that you're not on any denied party list
Your Responsibility:
- Comply with all applicable export laws
- Don't export or re-export in violation of law
